我國銀行境外併購的個案探討

Abstract

金管會藉由鼓勵金融機構整併提升金融機構競爭力，尤其是進行海外併購來達成。為了對本國銀行的跨國併購歷程有一完整的認識與了解，本研究以我國第一家銀行C銀行併購在亞洲地區性銀行T銀行的併購案作為研究對象，並以文獻分析法與個案研究法針對C銀行併購T銀行的過程做一探討，研究得出『金融機構跨國併購必須考量政治因素』、『重視資產負債的價值評估及被併金融機構所在國的監理審慎性』及『金融業跨國併購的遵法及監理規則對當地競爭的影響』。

Financial Supervisory Commissioner in Taiwan encourages bank mergers to increase their competiveness, in particular overseas merger and acquisition. In order to provide an overall picture of overseas mergers and acquisitions by Taiwan banks, this study analyzes the first overseas acquisition of an Asia regional T bank by a Taiwan C bank. The results of this case study show that : (1) political issues are critical in international mergers and acquisitions; (2) both valuation of assets and liabilities and the prudential supervision of the target bank’s country are important, and (3) legal compliance for international acquisitions, and its impact on the local competition of target bank must be considered.
