電子商業本票之技術可行性分析

Abstract

由國票弊案可知，現行的商業本票交易環境，存在眾多的問題。其中，最 重要的問題在於：相關交易人無法有效驗證商業本票上簽章的合法性。故 本票簽章模式的再造，實在有其必要性。數位簽章具有完整性、可驗證性 、及不可否認性等等的優點，很適合作為商業本票的簽章系統。故本研究 引入數位簽章的概念，提出電子化商業本票的建議，並配合網路技術，來 提高整個票券市場的安全性及交易效率。電子商業本票是否可行，最重要 的關鍵在於法律及技術的可行性。就法律層面而言，本研究就所可能面臨 的問題，根據國內外法律規定及學者的見解進行整理，並針對國內的法律 環境提出適切的解決方案；就技術層面而言，為了滿足商業本票背書連續 性的規定，本研究提出 Okamoto改良法的多重簽章模式，來完成電子商業 本票對背書連續性的要求，且為確立本票所有權人的地位，本研究提出電 子商業本票交付及登記的建議，並根據這樣的建議設計適當的程序，以保 障相關交易人的權利。藉由本研究的研究成果可知，電子商業本票就法律 及技術的層面而言，是非常可行的。然而，電子化商業本票仍有一些潛在 的問題及瓶頸有待克服，本論文的的目的在於就法律及技術的觀點，探討 電子商業本票的可行性，並提出具體可行的方案。最後，說明未來研究之 方向，以供後序相關研究之參考。 There are some problems in the current trading environment of commercial papers (CP), as indicated by some recent scandals. One of the major problems is that people cannot efficiently authenticate the validity of signatures on CP. In electronic commerce, digital signature offers an excellent vehicle for integrity control, authentication, and non- repudiation. In this thesis, we analyze the feasibility of digital commercial papers for applications to electronic commerce.Two aspects are addressed: legal and technical. For legal aspect, we have surveyed related legislation and law scholar opinions. In technical aspect, we present a modified Okamoto Model for multiple signature on CP. The model is in conformity with the rules of endorsement of CP. Moreover, we also propose a registry and management system of CP. In conclusion, digital CP are feasible in the world of electronic commerce, though future research tasks remain to be taken to realize the ideas.
