摘要: 面對經濟環境快速變遷,以及全球化競爭的趨勢,企業為了提升整體競爭優勢,紛紛已由水平整合開始走向垂直整合,但垂直整合需跨足上、下游產業,新進業者將面臨較高的技術門檻,因此企業上、下游併購已是企業進行垂直整合最快速的方式之一。而在併購的過程中,企業的整併涵蓋了組織、制度、作業流程與系統整合,其中系統整合更是企業併購的成敗關鍵。 有鑑於此,本研究以國內某太陽能上、下游併購案為個案探討,透過參與觀察法取得個案公司相關資料,配合文獻探討與個案分析,以企業流程管理(Business Process Management;BPM)程序為核心,參考整合性資訊系統架構(Architecture of Integrated Information System;ARIS),修正與彙整出有效整合上、下游ERP系統的方法及步驟。本研究結果未來可提供企業上、下游併購後ERP系統整合之參考,縮短企業ERP系統整合時程,幫助企業以最快速度獲取最大效益。
In the trend of globalization and rapidly changing of industry, enterprises will be integrated from horizontal to vertical integration. The vertical integration need to cross the upstream and downstream industries, and the new company will confront a higher technical threshold, upstream and downstream M & A is one of the fastest ways for enterprise's vertical integration. In the process of M & A, the enterprise integration contains the organization, system, operation process. System integration, which is the key to the success of enterprise's M & A. In view of this, the upstream and downstream M & A of solar energy industry as a case study, through participation observation method to obtain case-related company information. With the literature, case analysis, and the Business Process Management(BPM), reference the Architecture of Integrated Information System(ARIS), which corrects and summarizes the methods and steps for the effective integration of upstream and downstream ERP systems. The anticipation the study result is an useful resource for the vertical ERP intergration after the upstream and downstream M & A. Shorten the integration time of enterprise's ERP system and help enterprises to obtain the maximum benefit at the fastest speed.
