摘要: 由於個人工作之關係,常會接觸到企業界合併、收購,解散、清算與破產的各式各樣不同的案例,極為有趣。加上近幾年來,台灣公司為了能夠擴大與加速自家公司的技術取得、市場版圖與保護股東的權益,對於企業間的購併也逐年增加中,除了國內公司彼此間的購併外,台灣公司也具備向國外公司購併的能力。 在此前提下,本論文以企業經營權爭奪戰之案例研究作為個案探討,剖析企業併購的方式與企業經營權爭奪的各項議題,及每個階段中應注意的事項,期能讓本論文更具參考價值。
Based on my work experience, I have been taken care of many M&A, dissolution, bankruptcy cases which are very interesting to me.In the past two decades, It has been a usual way to acquire necessary technologies, protect the shareholders’ interests and expand the market share through M&A.In Taiwan, the M&A cases have been increased year by year.Taiwanese companies also have the ability of Cross-Border M&A. On this background, I would like to focus on the research of the different M&A patterns, contests for corporate Control issues, and guidelines for M&A in every phases and hopefully make this thesis more referential.
