Abstract: 在競爭激烈且瞬息萬變的全球化經營環境下,購併已成為企業追求成長的常見策略手段,甚至是決勝市場的關鍵。產品線增加,導致供過於求、而影響價格行情,及優秀人才永遠短缺等,是台灣IC設計產業這幾年來所最常遇到、也最難解決的問題。產業界人士都樂觀其成台灣IC設計產業將開始進入健康的整併過程,進入發展的成熟期,加上IC設計公司也不再是一本萬利的生意模型,在資金、人才見利思遷的想法都已慢慢沉澱後,畢竟,將呈現「大者恆大」的時期到來,而已非再是「小而美」的產業特性了。 而要達到客戶應用上的全面需求,除了需長時間經驗的累積之外,併購也就成為獲取關鍵技術的商業模式(Business Model)方法之一。也因為如此,方能發展出大者恆大的效應。 一個成功的併購可以協助企業取得關鍵技術、擴大市場佔有率、提高議價能力、進入新市場等經營優勢,以追求提升企業價值的最終目的。因此本研究及採用競爭力分析方法中的 SWOT分析,透過問卷訪談方式,來檢視個案A公司在併購之後的市場競爭力。 分析結果顯示,A公司大致上能夠發揮併購後的綜效,值得其他公司參考。
In an ever changing and extremely competitive global business environment, M&A has become a more frequently deployed strategy not only for enterprises to stay on the growing trajectory, but even to stay alive as well. Key elements such as more products are widely available on the market, over supply than demand, cutting throat price wars and shortage of talented employees, have posted great challenges and are most difficult to resolve for Taiwan IC design houses in recently years. More and more experts in the field predict that we have entered a healthy M&A era for Taiwan's IC design industry, while it becomes more and more mature. It is also no longer an industry that enjoys an enviable margin with the lack of investment and skilled technical human resources. After all, it is an era that the bigger is more beautiful while the vise versa might not be true. In order to provide a total solution to the customers, M&A also becomes one of the extremely important business model to acquire advanced technologies in order to stay competitive. This yields growing M&A domino effects in the industry. A successful M&A can help an enterprise to grow by acquiring key technologies, growing market share, increasing price barging power, and easier entering new markets and territories, hence increasing shareholder's value and employee satisfaction. This study uses SWOT analysis method to exam the market competitiveness of the company A before and after the merger. The finding of Study shows that case come to pay has utilized the M&A effectively and solidifies its leadership in the market place. This study can be referenced by enterprises that have interest in staying competitive and being successful through M&A.
